Richmond, VA, May 23, 2024–(BUSINESS WIRE)–Genworth Financial, Inc. (NYSE: GNW) today announced the election of all nine of its director nominees for the company's 2024 Annual Meeting of Stockholders. The board members re-elected were G. Kent Conrad, Karen E. Dyson, Jill R. Goodman, Melina E. Higgins, Thomas J. McInerney, Howard D. Mills III, Robert P. Restrepo Jr., Elaine A. Sarcinski and Ramsey D. Smith.
At the annual meeting, shareholders also approved an advisory vote regarding compensation for named executive officers. In addition, shareholders approved the selection of KPMG LLP as Genworth's independent registered public accounting firm for 2024.
In addition, stockholders approved amended and restated articles of incorporation that (i) remove all references to prior GE provisions, including removing references to our Class B common stock and renaming our Class A common stock, and (ii) grant stockholders the right to request the calling of a special meeting of stockholders at a 25% ownership threshold. The terms of the amended and restated articles of incorporation are described in more detail in the Company's definitive proxy statement filed with the Securities and Exchange Commission on April 8, 2024.
Genworth also plans to amend and re-enact its articles of incorporation to make similar conformity changes. The Amended and Re-Enacted Articles of Incorporation and the Amended and Re-Enacted Articles of Incorporation are expected to take effect early next month.
